AgentHub Terms of Service

These Terms govern your use of AgentHub, the trusted AI agent marketplace operated by MVS Holdings. By accessing or using the platform, you agree to be bound by these Terms.

1. Agreement and acceptance

These Terms of Service (the “Terms”) form a binding agreement between MVS Holdings (“MVS,” “we,” “us,” or “our”) and the entity or individual that signs up for an AgentHub account (“Customer,” “you,” or “your”). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “Customer” refers to that entity.

By creating an account, accessing the AgentHub platform, or using any agent pack, connector, sandbox, or API offered through AgentHub (collectively, the “Service”), you accept these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service.

We may update these Terms from time to time. Material changes will be communicated in-product or by email to the workspace owner at least thirty (30) days before they take effect, unless the change is required by law or addresses a security issue, in which case it may be effective sooner. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

2. Accounts and workspaces

To use the Service, you must register an account and create one or more organizations (“Workspaces”). Each Workspace is the unit of tenancy: it holds members, agent installations, connectors, and audit history. You are responsible for the actions of every user you invite to your Workspace.

You agree to provide accurate, complete, and current information when registering, and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for any activity that occurs under your account. Notify us promptly at security@mvsagents.ai if you suspect any unauthorized use.

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to use the Service. The Service is not designed for, and may not be used by, individuals under 13 (or 16 in the EEA) for any purpose.

3. License to use the platform

Subject to these Terms and your payment of any applicable fees, MVS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the applicable subscription term.

You may not (a) copy, modify, or create derivative works of the Service; (b) reverse-engineer, decompile, or otherwise attempt to derive source code, except as permitted by law; (c) resell, rent, lease, sublicense, or commercially exploit the Service except through features expressly provided for resale or affiliate arrangements; (d) circumvent any security, billing, or rate-limit controls; or (e) use the Service to build a competing product or to benchmark and publish results without our prior written consent.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. At a high level, you agree not to use the Service to engage in unlawful activity, infringe third-party rights, send spam or unsolicited communications, host or distribute malware, scrape data without authorization, or make consequential decisions about people without meaningful human review.

You are responsible for the agents, prompts, connectors, and approval policies you configure in your Workspace, and for ensuring your end users' behavior complies with these Terms.

5. AI output disclaimer

The Service uses large language models and other machine-learning systems to produce outputs (“AI Output”) based on your prompts, your data, and your configured tools. AI Output is probabilistic: it may be incomplete, inaccurate, outdated, or otherwise unsuitable for your particular purpose. You are responsible for reviewing AI Output before relying on it.

AgentHub provides controls — including approval gates, span-level citations, evaluation suites, and audit logs — to help you supervise AI Output. You agree to use these controls in a manner appropriate to the risk of the use case. AgentHub is not a substitute for professional advice (legal, medical, financial, or otherwise), and AI Output should not be the sole basis for any decision that materially affects a person's rights, finances, employment, health, housing, or safety without meaningful human review.

Where you use AI Output to communicate with third parties, you are the publisher of that content. You are responsible for ensuring it complies with applicable law and the policies of any platform on which it appears.

6. Customer data and content

As between you and MVS, you retain all right, title, and interest in and to the data, files, prompts, agent configurations, knowledge bases, and other content that you or your authorized users submit to the Service (“Customer Data”). You grant MVS a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data solely as needed to provide and improve the Service for you, to enforce these Terms, and to comply with law.

We do not sell Customer Data. We do not use Customer Data to train foundation models. You may export Customer Data through the Service's standard export tools at any time during your subscription. Upon termination, Customer Data is purged in accordance with our retention practices described in the Privacy Policy.

You represent and warrant that (a) you have all rights necessary to submit Customer Data to the Service; (b) Customer Data does not infringe any third-party right; and (c) your use of the Service complies with applicable privacy and data protection laws.

7. Platform intellectual property

The Service, including its software, user interface, designs, brand, agent manifests we publish, evaluation harnesses, audit-log structure, and documentation, is the intellectual property of MVS or its licensors. Except for the limited license granted in Section 3, no rights are granted to you by implication, estoppel, or otherwise.

If you provide MVS with feedback, suggestions, or ideas about the Service (“Feedback”), you grant MVS a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without obligation or compensation to you, provided we will not publicly attribute the Feedback to you without your consent.

8. Fees, billing, and taxes

Paid plans are billed in advance on a recurring basis (monthly or annually) at the rates set forth on our pricing page or in your order form. Usage-based fees (including run metering, retrieval queries, and connector executions above any included allotment) are billed monthly in arrears.

You authorize MVS and its card-payments processor to charge your designated payment method for all fees. If a charge fails, we may retry, suspend the Service, or terminate your subscription as described in Section 9. Fees are non-refundable except as expressly provided in these Terms or as required by law.

Fees do not include taxes. You are responsible for all applicable sales, use, value-added, withholding, or similar taxes, excluding taxes on our net income. If we are required to collect or pay any such tax, the tax will be invoiced to you unless you provide a valid exemption certificate.

We may change our fees with at least thirty (30) days' notice prior to the start of your next billing cycle. Continued use of the Service after the new fees take effect constitutes acceptance.

9. Term, suspension, and termination

These Terms remain in effect while you have an account. Either party may terminate a subscription at the end of the then-current term by providing notice through the Service or to the other party's designated billing contact, at least thirty (30) days before renewal.

We may suspend or terminate your access immediately, without prior notice, if (a) you breach these Terms in a material way; (b) you fail to pay fees when due and do not cure within ten (10) days of notice; (c) your use of the Service creates an imminent risk to MVS, our other customers, or third parties (including security, privacy, or legal risks); or (d) we are required to do so by law.

On termination, your right to access the Service ends. We will provide a reasonable opportunity (at least thirty (30) days, unless a shorter period is required by law or by Section 9(c)) for you to export Customer Data, after which Customer Data will be deleted in accordance with our retention practices. Sections that by their nature should survive termination — including Sections 6 (rights in Feedback), 7, 10, 11, 12, 13, 14, and 15 — will survive.

10. Warranty disclaimer

Except for the limited representations expressly stated in these Terms, the Service is provided “AS IS” and “AS AVAILABLE.” MVS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI Output will be accurate or fit for any purpose.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the disclaimers above apply to the maximum extent permitted by law.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO MVS UNDER THESE TERMS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. The limitations in this Section 11 apply regardless of the legal theory (contract, tort, statute, or otherwise) and even if a limited remedy fails of its essential purpose.

The limitations in this Section do not apply to (a) a party's breach of its confidentiality obligations or its obligations under Section 12 (Indemnification); (b) a party's gross negligence, willful misconduct, or fraud; or (c) liability that cannot be limited under applicable law.

12. Mutual indemnification

By MVS. MVS will defend Customer against any third-party claim alleging that the Service, when used as permitted by these Terms, infringes a U.S. patent, copyright, trademark, or trade secret of that third party, and will pay damages and costs finally awarded against Customer (or agreed in settlement). MVS's obligations do not apply to claims arising out of (a) Customer Data; (b) modifications to the Service made by anyone other than MVS; (c) combinations of the Service with products MVS did not provide; or (d) Customer's use of the Service in breach of these Terms.

By Customer. Customer will defend MVS, its affiliates, and their personnel against any third-party claim arising out of (a) Customer Data, (b) Customer's breach of Sections 4 or 6, or (c) any decision Customer makes based on AI Output, and will pay damages and costs finally awarded against MVS (or agreed in settlement).

Each party's indemnity obligations are conditioned on the indemnified party (i) providing prompt written notice of the claim, (ii) granting the indemnifying party sole control of the defense and settlement (provided no settlement may require an admission of liability or unconditional payment by the indemnified party), and (iii) cooperating reasonably at the indemnifying party's expense.

13. Governing law

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflicts-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Dispute resolution

Informal resolution. Before filing a claim, each party agrees to try to resolve the dispute by sending a written notice to the other (to legal@mvsagents.ai in MVS's case) describing the claim and the desired resolution. The parties will negotiate in good faith for at least sixty (60) days.

Forum. Subject to the informal-resolution requirement above, any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to the personal jurisdiction of those courts.

Equitable relief. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

No class actions. To the extent permitted by law, the parties agree to bring claims on an individual basis only and waive any right to participate in a class, collective, or representative action.

15. General provisions

Entire agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy, any order forms, and any data processing addendum we sign with you, constitute the entire agreement between you and MVS and supersede all prior or contemporaneous agreements regarding the Service.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

Force majeure. Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, network outages of upstream providers, denial-of-service attacks, war, terrorism, civil unrest, governmental actions, or pandemics.

Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and the parties will replace the unenforceable provision with one that most closely reflects the original intent.

No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Notices. Notices to MVS must be sent to legal@mvsagents.ai. Notices to Customer will be sent to the email address associated with the Workspace owner or to any address set forth in an order form.

Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
